Terms of Service

The default terms an Anode design engagement runs on. A signed contract for a specific project takes precedence over anything here.

What these terms cover

They cover the use of this website and the design services Anode (Pvt) Ltd offers through it. Where we have signed a separate agreement, statement of work or NDA with you, that document wins on any point the two disagree about.

What we do

Electronic design: schematic capture, PCB layout, firmware, mechanical and enclosure design, and the documentation needed to manufacture the result. We design; we are not the manufacturer, and we do not warrant the work of a fabricator or assembler you or we engage.

Quotations and scope

A quotation states the deliverables, the review gates and the schedule, and is valid for thirty days. It is priced against the requirements as they stood when it was issued. Requirements change — that is normal in hardware. A change that alters the deliverables, the board complexity or the number of review cycles is quoted as a variation before it is started, never absorbed silently and never billed as a surprise.

Your inputs

Design work is only as good as what it starts from. You are responsible for the accuracy of the requirements, reference designs, component choices and mechanical constraints you give us, and for confirming you have the right to share them. We flag what looks wrong, but we cannot verify what we were never told.

Reviews and acceptance

Projects run through review gates — typically schematic, placement, routing and sample. Each gate needs your written approval before the next stage starts. Approval at a gate is what makes the following stage billable, and rework caused by a change to something already approved is quoted as a variation.

Payment

Unless the quotation says otherwise, design starts on receipt of the opening payment and the balance falls due at hand-over. Invoices are payable within fourteen days. Work may be paused on an overdue account, and we will say so before it happens.

Who owns the design

On final payment, the design produced for you — schematics, layout, source firmware, mechanical files and the build package — is yours outright. What we keep is our own toolkit: component libraries, footprints, internal templates and the general engineering knowledge acquired doing the work. Those carry into other projects; your circuit, your product and your confidential information do not.

Confidentiality

Everything you send us is confidential and stays inside the project team. We will sign your NDA on request, before any material is sent. We do not use a client's product as a public reference — including in the case studies on this site — without written permission, which is why several entries there are anonymised.

Warranty and limits

We warrant that the work is performed with the skill of a competent professional engineering practice, and we correct design defects we are responsible for, free of charge, for ninety days after hand-over. Beyond that correction, our total liability for a project is limited to the fees paid for it, and we are not liable for indirect losses — lost profit, lost production, recall or tooling costs. Hardware carries risk that no design office can underwrite; insure accordingly.

Certification and compliance

We design towards the standards a product has to meet and support pre-compliance testing, but passing a formal certification is decided by an accredited test house, not by us. Unless a quotation says we are managing certification, the submission and its outcome remain yours.

Ending an engagement

Either side may end a project in writing. Work completed up to that point, and any non-cancellable commitments already made on your behalf, are payable; everything finished and paid for is handed over.

Governing law

These terms are governed by the laws of Sri Lanka, and the courts of Colombo have exclusive jurisdiction over disputes arising from them.

Need these terms adjusted

Most clients sign a project agreement that varies some of this. Tell us what needs to change.
